Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FlowIQ Instruments website (flowiqinstruments.com) and mobile application (together, the "Services"), provided by FlowIQ Instruments ("FlowIQ," "we," "us," or "our"). By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you're accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, do not use the Services.

FlowIQ provides tools for HVAC test-and-balance (TAB) technicians, including duct traverse and airflow calculations, air changes (ACH), hydronic pump balancing, valve sizing calculators, a general calculator library, and optional pairing with supported Bluetooth probes (e.g., Testo 605) to pull live readings into the app. Corporate/team accounts can purchase multiple seats and manage billing through the website.

The Services are intended for licensed or trained HVAC professionals and the businesses that employ them, and are not directed at the general public or at children. You must be at least 18 years old to create an account.

You're responsible for the accuracy of the information you provide, for keeping your password confidential, and for all activity that occurs under your account. Notify us immediately at Support@FlowIQInstruments.com if you suspect unauthorized use of your account.

Paid plans are billed per seat, monthly or annually as selected at checkout, through our payment processor, Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel.

Subscriptions renew automatically at the then-current price for the plan and billing interval you selected, unless canceled before the renewal date. You can manage or cancel your subscription at any time from the Billing section of your dashboard (Stripe's Customer Portal). Except where required by law, payments are non-refundable, including for partial billing periods.

We may change subscription pricing going forward; if we do, we'll provide notice before the change takes effect for existing subscribers. Enterprise/firm-wide licensing is negotiated separately and is not subject to the self-serve pricing shown on the website.

You agree not to: use the Services for any unlawful purpose; attempt to reverse-engineer, decompile, or gain unauthorized access to the Services or their underlying systems; resell, sublicense, or provide access to the Services to anyone outside your organization's purchased seats; scrape, data-mine, or use automated means to access the Services beyond normal use; or interfere with the Services' operation or security.

We may suspend or terminate accounts that violate this section.

This is the most important section of these Terms — please read it carefully.

FlowIQ's tools are provided as a convenience aid to assist trained professionals with test-and-balance calculations. They are not a substitute for your professional training, judgment, applicable codes and standards, or manufacturer specifications. Results depend entirely on the accuracy of the inputs you (or a paired probe) provide — FlowIQ does not independently verify field readings, equipment specifications, or job conditions.

You are solely responsible for independently verifying any calculation, reading, or result before relying on it, for complying with all applicable building codes, safety standards, and regulations, and for exercising your own professional judgment on every job. FlowIQ Instruments makes no representation that any calculation is accurate, complete, or fit for a particular job, system, or jurisdiction.

To the fullest extent permitted by law, FlowIQ is not responsible for any property damage, system failure, rework costs, safety incident, code violation, or other loss arising from reliance on results produced by the Services.

FlowIQ and its licensors own all right, title, and interest in the Services, including the app, website, software, design, and content — excluding data you input (your "Customer Data"). We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms, for as long as your subscription is active.

You retain ownership of your Customer Data (job readings, reports, and similar information you enter). You grant us a license to host, store, and process that data solely to provide the Services to you.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICES, AND RELY ON ANY RESULTS THEY PRODUCE, AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, FLOWIQ INSTRUMENTS AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROPERTY DAMAGE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify and hold FlowIQ Instruments harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Services; your violation of these Terms; or your reliance on any calculation or result without independent professional verification.

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, or discontinue the Services with reasonable notice. Sections that by their nature should survive termination (including Sections 6–10) will survive.

These Terms are governed by U.S. law, without regard to conflict-of-law principles. Before filing a claim, you agree to contact us at Support@FlowIQInstruments.com so we can attempt to resolve the issue informally.

We may update these Terms from time to time. If we make material changes, we'll update the effective date below and, where appropriate, notify you. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
